פוליסת ביטוח
במידה ופוליסת ביטוח האחריות המקצועית של הרופא תבוטל או תסתיים, הרופא יחדל לאלתר להשתמש בשירותי העזר של החברה, לא יבצע השתלות על סמך שירותי העזר, ויודיע על כך לחברה בכתב לאלתר. הרופא מתחייב לשפות את החברה ו/או דירקטורים, בעלי מניות, נושאי משרה, עובדים, שותפים או חברות בת או
קשורות של החברה, בגין כל חבות, נזק ו/או הוצאה שיגרמו להם כתוצאה מאי קיום תנאי סעיף זה, שהינו תנאי יסודי בתנאי התקשרות אלה.
הדרכה
הרופא מתחייב לעבור הדרכה מטעם החברה לגבי אופן הקבלה והשימוש בשירותי העזר וזאת טרם קבלתם וביצוע השתלות על פיהם.
הרופא מתחייב, כי כל רופא אחר מטעמו המיועד להשתמש בשירותי העזר, יעבור הדרכה כנ"ל טרם השימוש בשירותי העזר וטרם ביצוע השתלות על פיהם.
תעריפי שירותים
על פי חשבוניות שהחברה תנפיק לרופא מעת לעת, ישלם הרופא לחברה, בהתאם לתנאי התשלום המוסכמים
איתו, את התעריפים המפורטים במחירון החברה הרלוונטי בגין שירותי העזר שצרך. החברה שומרת על זכותה לעדכן את התעריפים מעת לעת, בכפוף להודעה מראש לרופא.
הגבלת אחריות
החברה ו/או דירקטורים, בעלי מניות, נושאי משרה, עובדים, שותפים או חברות הבת שלה, לא יהיו אחראים כלפי הרופא או מטופליו, לכל הפסד, נזק, פגיעה, אובדן ו/או הוצאה מכל סוג, לרבות ישירים או עקיפים, ממוניים או בלתי ממוניים, מיוחדים או כלליים, תוצאתיים או משניים, אשר יגרמו כתוצאה או עקב אחריות
רפואית הקשורה בהפקה ושימוש בתוכנית ההשתלה, בסד הכירורגי ו/או בערכת הניתוח, ו/או הקשורה בתכנון
ובחירת תכנית ההשתלה וביצוע הטיפול הרפואי על פיה.
אם ימצא כי החברה אחראית לפצות את הרופא ו/או מי מטעמו ו/או צד שלישי בגין נזק שנגרם למי מהם בקשר לפעילות הנובעת מהסכם זה, תהיה אחריותה המרבית של החברה מוגבלת לתשלום סכום השווה לכפולת סכום התמורה ששילם הרופא בגין השירות ו/או המוצר שבגינם קמה האחריות.
הרופא מתחייב לשפות את החברה ו/או מי מטעמה כמפורט לעיל, בגין כל חבות או הוצאה אשר יגרמו בגין תביעות של מטופלים בגין כל עילה לרבות רשלנות רפואית .
שונות
הרופא לא רשאי להעביר ו/או להמחות לכל גורם אחר את זכויותיו על פי תנאי התקשרות אלה. כותרות הסעיפים תנאי התקשרות אלה הן לנוחות בלבד ולא ישמשו לפרשנותם. כל ויתור על תנאי מתנאי התקשרות אלה לא יהווה ויתור על יתר התנאים. אי תקפותו או אכיפתו של תנאי מתנאי התקשרות אלה לא יפגעו בתקפות
או באכיפת יתר התנאים. כל שינוי או תיקון של תנאי התקשרות אלה יעשה בכתב ויהיה בר תוקף רק לאחר אישורו בכתב על ידי כל הצדדים. דיני ישראל יחולו על תנאי התקשרות אלה ולבתי המשפט במחוז תל אביב ו/או מרכז תהיה סמכות בלעדית ויחידה לגבי כל עניין הקשור ו/או הנובע מהם.
שירותי עזר למיקום שתלים – תנאים כלליים:
השירות
חברת אלפא-ביו טכ. בע"מ ("החברה") תספק על בסיס תוכנת מחשב ייעודית שירותי
הדמיה אשר ישמשו כאמצעי עזר בידי רופא השיניים לקביעת מיקום שתלי שיניים במסגרת תהליך ההכנה
המתבצע על ידו לניתוחי שתלים. השירות מבוסס על שיטת "מודל גייד ליצירת סדים כירורגיים בעזרת תוכנת מחשב ייעודית, המאפשרת: סימולציה של מיקום שתלים בעזרת הדמיות ;CTהצגה והמחשה דו ותלת ממדיות של האנטומיה של המטופל; איתור וסימון מבנים קריטיים (כגון: העצב המנדיבולרי, מערות הסינוס ורצפת האף;) והפקת סד כירורגי לשימוש הרופא במהלך הניתוח.
מיקום השתלים נעשה בהתאם לתכנון ההשתלה המבוקש על ידי הרופא המטפל. השירות כולל התאמת הדמיות CT שיתקבלו מהרופא למערכות התוכנה, ייעוץ לגבי מיקום השתלים בהתאם לדרישות הרופא המטפל, ובכפוף לאישורו, הכנת סד כירורגי לביצוע הניתוח.
רישום לשירות
השימוש בשירות כרוך ברישום מוקדם. רופא המעוניין להשתמש בשירות ירשם מראש באתר האינטרנט של השירות.
הרישום לשירות הינו אישי. הרופא לא ראשי להעביר ו/או להמחות לכל גורם אחר את זכויותיו.
הגבלת אחריות
בבקשתו של הרופא להיעזר בשירותי החברה, בחתימתו על או באישורו את הסכם הזמנת שירותי עזר המצ"ב וסעיפי הגבלת
האחריות הכלולים בו ובהתאם להצהרותיו בהסכם, הרופא מבין, מסכים ומצהיר כי יש לו הידע, ההכשרה
והאישורים הנדרשים לתכנון ולביצוע ניתוחי שתלים. כמו כן, הוא מסכים, כי מכיוון שמכלול הנסיבות והמידע
המלא לפיו הזמין הרופא את השירות, נמצאים בשליטתו הבלעדית של הרופא, הוא יהיה אחראי בלעדית
לנסיבות אלה ולשימוש בשירות בהתאם להן. הרופא גם מודע ומסכים כי לצורך ביצוע השירות עושה החברה
שימוש בתוכנה, כלים ועזרים נוספים, המסופקים לה על ידי צדדים שלישיים והיא אינה אחראית לתקינותם
ו/או לדיוקם של העזרים הנ"ל וכי עליו לוודא את תקינותם, התאמתם ודיוקם טרם השימוש בהם. לצורך ביצוע השירות, מעביר הרופא לחברה מידע, קבצים דיגיטליים, סד רדיולוגי ומודל גבס המיוצרים על ידי מכונים ומעבדות שנבחרו על ידי הרופא ובהתאם להנחיותיו. הרופא מסכים כי הוא אחראי בלעדית לתקינותם,
התאמתם ודיוקם של פריטים אלה.
הצהרת פרטיות – אישור מסירת, עיבוד ושמירת פרטים אישיים ורפואיים
לצורך הספקת השירות אוספת ושומרת החברה מידע פרטי של הרופא ו/או המטופל הכולל בין היתר פרטי
התקשרות ומידע קליני. החברה תנקוט באמצעים טכנולוגיים וארגוניים מתאימים לצורך הגנה על המידע וכל
זאת בהתאם לכללי הגנת הפרטיות הנהוגים בחברה ולפי חוק. החברה שומרת לעצמה את הזכות לשנות מעת
לעת את הכללים לעיל.
הרופא מאשר בזאת כי הוא מסכים בזאת למסור את פרטיו לחברה לצורך ההתקשרות במתן שירות זו וכי קיבל את הסכמתו של המטופל להעביר לחברה מידע קליני, רפואי ופרטים אישיים לחברה לצורך מתן השירות וזיהוי המטופל והרופא, לשימוש במידע לצורך זה ושמירתו כ 7 שנים לאחר סיום ההתקשרות שבין הרופא לחברה.
סיום ההתקשרות יעשה בכתב על ידי הרופא.
בנוסף, הרופא מאשר בזאת לחברה לפנות ולהציע מוצרים ושירותים נוספים לרבות קורסים ואירועי הדרכה של החברה ושל חברות קשורות לחברה, באמצעות נציגיה, מפיציה או נציגי חברות קשורות לחברה.
הדרכה
כחלק מתהליך הרישום לשירות מתחייב הרופא לעבור הדרכה ייעודית שתועבר על ידי החברה באופן שוטף.
ההשתתפות בהדרכה הינה תנאי לקבלת השירות על ידי הרופא. ההדרכה תועבר באופן פרונטאלי או באמצעות
הרשת בהתאם לבחירת החברה.
הקיט הכירורגי
ביצוע הניתוח המונחה דורש כלים ייעודיים המותאמים לעבודה עם הסד הכירורגי. החברה תעמיד לרשות
הרופא (בדרך של מכירה או השכרה) סט כלים כירורגיים ייעודי מתאים. הסט כולל מגוון כלים וביניהם מקדחים ייעודיים, פיני קיבוע, מפתחות ועזרים שונים. הכלים מסופקים לחברה על ידי צד ג' כשהם כוללים אישור CE ונמצאים תחת אחריותו הבלעדית.
הסד הכירורגי
מטרת הסד הכירורגי, המונח ומקובע בפה המטופל במהלך הניתוח, הינה לסייע לרופא למקם את השתלים
בהתאמה מירבית למיקום אשר קבע בתכנית ההשתלה. הסד מיוצר מתרכובת אקרילית מאושרת לצרכים
רפואיים (Biocompatible) בתהליך של סטריוליטוגרפיה וממוקמים בו שרוולי מתכת המשעתקים את מיקום
השתלים על ידי הנחיית הקידוח והחדרת השתלים במיקום והכיוון שיוצע על ידי התוכנה ויאושר על ידי הרופא.
